These Terms and Conditions ("Terms") constitute a legally binding agreement between the User and Alphaxy Holdings Limited regarding access to and use of the Bizel Platform and all related services.
By creating an account, accessing, browsing, subscribing to, or using the Bizel Platform in any manner, the User acknowledges that they have read, understood, and agreed to be bound by these Terms and Conditions. If the User does not agree to these Terms, the User must immediately discontinue use of the Platform.
Bizel is owned and operated by Alphaxy Holdings Limited.
References to "Bizel", "Company", "we", "our", or "us" in these Terms refer to Alphaxy Holdings Limited.

Bizel reserves the right to verify information provided by Users and may suspend, restrict, or terminate access where information is determined to be inaccurate, incomplete, misleading, fraudulent, or otherwise unacceptable.
Bizel provides digital business management and reporting solutions designed to assist businesses in recording, organizing, analyzing, and managing operational and financial information.
Services may include, without limitation:
Bizel is a software platform only.
Bizel is not:
Users remain solely responsible for their own business operations, transactions, regulatory obligations, tax compliance, and record accuracy.
To access certain Services, Users may be required to create an Account.
Users agree that:
Bizel shall not be liable for losses arising from unauthorized access resulting from a User's failure to protect account credentials.
Users agree to use the Platform lawfully and responsibly.
Users shall not:
Violation of this section may result in immediate suspension or termination of access without prior notice.
Certain Services are available only through paid subscriptions.
Subscription plans may include:
Access to premium functionality is subject to successful payment and maintenance of an active subscription.
Bizel reserves the right to modify subscription features, pricing, and plan structures at its discretion. Any pricing changes shall apply prospectively and shall not affect already-paid subscription periods.
Users agree to pay all fees associated with their selected subscription plans.
Payments may be processed through authorized third-party payment providers including:
Users authorize Bizel and its payment partners to process payments necessary for provision of Services.
Failure to complete payment obligations may result in:
Where recurring payment functionality is enabled, the User expressly authorizes Bizel and its designated payment service providers to automatically charge the selected payment method for subscription renewal fees.
Recurring charges shall continue until:
Users remain responsible for ensuring sufficient funds are available to support recurring payment transactions. Failure of automatic payment processing may result in suspension or termination of subscription benefits.
Unless otherwise required by applicable law:
Bizel may, at its sole discretion, provide refunds under exceptional circumstances. The granting of a refund in one instance shall not establish an obligation to provide refunds in future situations.
Users retain ownership of all User Data submitted through the Platform.
By using the Platform, Users grant Bizel a non-exclusive, limited, revocable license to:
This license exists solely for purposes necessary to provide and maintain Services. Bizel does not claim ownership of User Data.

Personal information and business data shall be processed in accordance with:

All intellectual property rights associated with the Platform are owned exclusively by Alphaxy Holdings Limited or its licensors.

Nothing in these Terms transfers ownership of intellectual property to Users. Users are granted a limited, non-transferable, revocable license to access and use the Platform solely for lawful business purposes.
The Platform may integrate with or provide access to third-party services, software, websites, payment providers, APIs, or systems.
Bizel does not control and is not responsible for:
Use of third-party services is subject to the terms and policies of the respective providers.
Bizel endeavors to maintain reliable Platform availability.
However, Users acknowledge that Services may be affected by:
Bizel does not guarantee uninterrupted or error-free operation.
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis.
To the maximum extent permitted by law, Bizel disclaims all warranties, whether express, implied, statutory, or otherwise, including:

To the maximum extent permitted by law, Alphaxy Holdings Limited, its directors, officers, shareholders, employees, affiliates, agents, representatives, contractors, and licensors shall not be liable for:
Where liability cannot be excluded by law, the aggregate liability of Bizel shall not exceed the total subscription fees paid by the User during the twelve (12) months preceding the event giving rise to the claim.
Users agree to indemnify, defend, and hold harmless Alphaxy Holdings Limited and its directors, officers, employees, affiliates, agents, contractors, successors, and assigns from and against all claims, liabilities, damages, losses, costs, expenses, fines, penalties, and legal fees arising from:

Termination may occur with or without prior notice where circumstances reasonably justify immediate action.
Bizel shall not be liable for any delay, interruption, failure, or inability to perform obligations resulting from circumstances beyond its reasonable control, including:
These Terms shall be governed by and interpreted in accordance with the laws of the United Republic of Tanzania.
Any dispute arising out of or relating to these Terms or use of the Platform shall first be resolved through good-faith negotiations between the parties. Where amicable resolution cannot be achieved within a reasonable period, the dispute shall be submitted to courts of competent jurisdiction within the United Republic of Tanzania.
Bizel reserves the right to modify, amend, update, replace, or revise these Terms at any time.

Continued use of the Platform following publication of revised Terms constitutes acceptance of such revisions.
If any provision of these Terms is determined by a competent authority or court to be unlawful, invalid, or unenforceable, the remaining provisions shall remain valid and enforceable to the fullest extent permitted by law.
These Terms, together with the Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between the User and Alphaxy Holdings Limited regarding use of the Platform and supersede all prior agreements, understandings, communications, and representations relating to the subject matter herein.

BY CREATING AN ACCOUNT, ACCESSING THE PLATFORM, SUBSCRIBING TO SERVICES, MAKING PAYMENTS, OR CONTINUING TO USE THE BIZEL PLATFORM, THE USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREED TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS.
